1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and JTE Medical, LLC, doing business as Elara Research Peptides ("Elara," "we," "our," or "us"). By accessing or using the website located at elarapeptides.com (the "Site"), creating an account, placing an order, or otherwise engaging with our products or services, you agree to be bound by these Terms.

If you do not agree to these Terms in their entirety, you must not access or use the Site or purchase any products. We reserve the right to refuse service to anyone for any reason at any time.

2. Research Use Only Disclaimer

By purchasing any product from this Site, you represent and warrant that:

• You will use all products solely for legitimate research, laboratory, or analytical purposes
• You will not administer any product to humans or animals
• You will not market, resell, or distribute any product as a drug, medication, dietary supplement, food additive, or consumer product
• You are familiar with the safe handling, storage, and disposal procedures for research chemicals and peptides
• You understand that our products have not been evaluated by the U.S. Food and Drug Administration (FDA) and are not approved for any therapeutic use

JTE Medical, LLC is a chemical supplier. Elara is not a compounding pharmacy or chemical compounding facility as defined under Section 503A of the Federal Food, Drug, and Cosmetic Act. Elara is not an outsourcing facility as defined under Section 503B of the Federal Food, Drug, and Cosmetic Act.

Any violation of these research use terms may result in immediate account termination, order cancellation, and forfeiture of any refund rights.

3. Eligibility

To use the Site and purchase products, you must:

• Be at least 18 years of age
• Be legally capable of entering into binding contracts
• Provide truthful, accurate, and complete information during registration and checkout
• Comply with all applicable local, state, federal, and international laws and regulations governing the purchase, possession, and use of research chemicals and peptides in your jurisdiction

It is your sole responsibility to determine whether the purchase, import, and possession of our products is lawful in your jurisdiction. Elara assumes no liability for orders placed to jurisdictions where our products may be restricted or prohibited.

4. Account Registration

When you create an account on our Site, you agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security and confidentiality of your account credentials, including your password
• Accept full responsibility for all activity that occurs under your account
• Notify us immediately of any unauthorized use of your account or any other security breach

We reserve the right to suspend or terminate any account at our sole discretion, with or without notice, for conduct that we determine violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

5. Orders and Pricing

Product Descriptions

We make reasonable efforts to ensure that product descriptions, images, specifications, and pricing on our Site are accurate. However, we do not warrant that product descriptions or other content on the Site are error-free, complete, or current. If a product offered on the Site is not as described, your sole remedy is to return it in accordance with our Returns and Refunds policy.

Pricing

All prices are listed in U.S. Dollars (USD) and are subject to change without notice. We reserve the right to correct any pricing errors, even after an order has been placed. In the event of a pricing error, we will notify you and offer you the option to proceed with the corrected price or cancel the order for a full refund.

Order Acceptance

Your placement of an order constitutes an offer to purchase. We reserve the right to accept or decline any order at our sole discretion. An order is not considered accepted until we have sent you an order confirmation email. We may cancel orders due to product availability, pricing errors, suspected fraud, or any other reason.

Quantity Limits

We reserve the right to limit the quantities of any product that may be purchased per person, per household, or per order. We will notify you if such limitations apply to your order.

6. Payment

We accept major credit cards and other payment methods as displayed at checkout. By submitting payment information, you represent and warrant that:

• You are authorized to use the designated payment method
• You authorize us (or our payment processor) to charge your payment method for the total order amount, including applicable taxes and shipping fees
• All payment information you provide is truthful and accurate

All payment processing is handled by PCI-DSS compliant third-party processors. Elara does not store your full credit card number, CVV, or other sensitive payment details on our servers.

If your payment method is declined, we will notify you and your order will not be processed until a valid payment method is provided.

7. Shipping and Delivery

• Orders placed before 2:00 PM ET on business days (Monday - Friday) are shipped the same day
• Standard delivery is 2 business days nationwide via FedEx or UPS
• Free standard shipping is available on orders of $299 or more
• Expedited and overnight shipping options are available at checkout for an additional fee

Delivery timeframes are estimates and not guarantees. Elara is not responsible for delays caused by shipping carriers, weather, customs, or other circumstances beyond our control. Risk of loss and title for all products pass to you upon delivery to the shipping carrier.

It is your responsibility to provide a valid and complete shipping address. Elara is not liable for orders shipped to incorrect addresses provided by the customer. Re-shipment fees may apply.

8. Returns and Refunds

Return Policy

• We accept returns on unopened, unused products in their original sealed packaging within 30 days of delivery
• To initiate a return, contact us at info@elarapeptides.com with your order number and reason for return
• Return shipping costs are the responsibility of the customer unless the return is due to our error (wrong item, damaged product, etc.)
• Refunds will be issued to the original payment method within 7-10 business days of receiving the returned product

Damaged or Incorrect Items

If you receive a damaged or incorrect item, contact us within 48 hours of delivery at info@elarapeptides.com. We will ship a replacement at no cost or issue a full refund, at your option. We may request photos of the damage for our records.

Non-Returnable Items

Opened, reconstituted, or partially used products cannot be returned for safety and quality control reasons. Custom formulations and white-label orders are non-refundable.

9. Wholesale Accounts

Wholesale pricing, payment terms, and account privileges are available to approved organizations through our wholesale program. By applying for and using a wholesale account, you additionally agree to the following:

• All information provided in your wholesale application is truthful and accurate
• You will comply with your agreed-upon payment terms (NET-15 or NET-30, as applicable)
• Late payments may result in suspension of wholesale privileges, application of late fees, and reversion to retail pricing
• Wholesale pricing is confidential and may not be disclosed to third parties
• We reserve the right to modify wholesale pricing tiers, discount percentages, or payment terms with 30 days' notice
• We reserve the right to revoke wholesale status at any time for non-compliance with these Terms

10. Affiliate Program

Participation in the Elara affiliate program is subject to acceptance of these Terms as well as any additional affiliate program terms provided during enrollment. By participating in the affiliate program, you agree:

• You will promote Elara products in a truthful, accurate, and non-misleading manner
• You will not make any health claims, therapeutic claims, or claims of human use regarding our products
• You will not use spam, unsolicited messaging, or deceptive advertising to promote your affiliate link
• You will not bid on Elara-branded keywords (e.g., "Elara Peptides," "elarapeptides") in paid search advertising without prior written consent
• You will clearly disclose your affiliate relationship in compliance with FTC disclosure guidelines
• Commission rates, cookie durations, and payout terms are subject to change with 30 days' notice
• We reserve the right to reject or reverse commissions generated through fraudulent, deceptive, or policy-violating activity
• We reserve the right to terminate your affiliate account at any time for any reason

11. Intellectual Property

All content on this Site, including but not limited to text, graphics, logos, images, product descriptions, icons, photographs, data compilations, software, and the overall design and layout of the Site, is the property of JTE Medical, LLC and is protected by United States and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content from our Site without our prior written consent, except for:

• Temporary caching by your web browser for display purposes
• Printing or downloading a reasonable number of pages for personal, non-commercial use
• Using marketing materials expressly provided to approved affiliate partners for promotional purposes

The Elara name, Elara Research Peptides name, Elara logo, and all related names, logos, product and service names, designs, and slogans are trademarks of JTE Medical, LLC. You may not use these marks without our prior written permission.

12. Prohibited Conduct

When using our Site, you agree not to:

• Use any product purchased from Elara for human or animal consumption, or for any therapeutic, diagnostic, or medical purpose
• Violate any applicable local, state, national, or international law or regulation
• Impersonate any person or entity, or misrepresent your identity or affiliation
• Engage in any activity that disrupts, damages, or interferes with the operation of the Site
• Attempt to gain unauthorized access to our systems, user accounts, or data
• Use automated tools (bots, scrapers, crawlers) to access or collect data from the Site without our written consent
• Post or transmit any fraudulent, defamatory, obscene, or otherwise objectionable content
• Use the Site to transmit viruses, malware, or other harmful code
• Resell our products at retail while representing yourself as an authorized dealer or distributor without written approval

13. Disclaimers

To the fullest extent permitted by applicable law, Elara disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

Without limiting the foregoing, Elara does not warrant that:

• The Site will be available at all times, uninterrupted, or error-free
• The information on the Site is complete, accurate, reliable, or current
• Any defects in the Site will be corrected
• Products will meet your specific research requirements or expectations

The statements and products on this Site have not been evaluated by the U.S. Food and Drug Administration. Our products are not intended to diagnose, treat, cure, or prevent any disease or medical condition.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JTE MEDICAL, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO:

• Your use or inability to use the Site or any products
• Any unauthorized access to or alteration of your data or transmissions
• Any conduct or content of any third party on the Site
• Any products purchased through the Site

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO ELARA FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations above shall apply to the fullest extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless JTE Medical, LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Site or any products purchased from Elara
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of any third-party rights
• Any misuse of products, including but not limited to human or animal consumption
• Any claims arising from your affiliate promotional activities

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms, the Site, or any products purchased from Elara shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in the State of Florida, and the arbitrator's decision shall be final and binding.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against Elara. All claims must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

17. Changes to These Terms

We reserve the right to modify these Terms at any time at our sole discretion. When we make material changes, we will update the "Last Updated" date at the top of this page. For significant changes, we may also provide additional notice via email or a prominent notice on our Site.

Your continued use of the Site following the posting of updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site.
